Terms of Service

1. Overview

These Terms of Service ("Terms") govern your access to and use of the Skala website, applications, and services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

2. The Service

Skala provides a cloud-based collaboration and productivity platform. We may update, modify, or discontinue features of the Service at any time. We do not guarantee uninterrupted availability.

3. Accounts

To use the Service you must create an account. You agree to:

• Provide accurate account information
• Maintain the security of your login credentials
• Be responsible for activity under your account

You must be at least 18 years old to create an account.

4. Acceptable Use

You agree not to:

• Violate laws or regulations
• Attempt unauthorized system access
• Reverse engineer the software
• Interfere with operation of the Service
• Distribute malware, spam, or harmful content
• Harass or abuse other users

Accounts violating these rules may be suspended or terminated.

5. Customer Data

You retain ownership of content and data you upload ("Customer Data"). You grant Skala permission to process and store Customer Data solely to operate and provide the Service. You are responsible for maintaining backups of your data.

Skala may use artificial intelligence or machine learning technologies to provide features within the Service. Customer Data will NOT be used to train or improve general AI models. Customer Data is processed only to deliver functionality requested by the customer and their authorized users. Skala does not use Customer Data to train shared models or models used for other customers.

6. Subscriptions and Billing

Some parts of the Service may require payment. Subscriptions may automatically renew unless cancelled before the renewal date. Fees are generally non-refundable except where required by law.

7. Termination

You may stop using the Service at any time. We may suspend or terminate access if:

• You violate these Terms
• Your use poses risk to the platform or other users

We may also modify or discontinue the Service entirely.

8. Intellectual Property

All software, design, and technology within the Service is owned by Skala and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service.

9. No Warranties

The Service is provided "as is" and "as available". Skala disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Skala's total liability relating to the Service will not exceed the amount you paid for the Service in the one (1) month preceding the claim. Skala will not be liable for:

• indirect damages
• loss of profits
• loss of revenue
• loss of data
• business interruption
• consequential damages

11. Third-Party Integrations (Google and Microsoft)

Skala may allow you to connect third-party services, including Google Calendar and Microsoft Outlook Calendar.

When you enable these integrations, you authorize Skala to access certain data from those services on your behalf in order to provide functionality within the Service.

This may include calendar data such as event titles, descriptions, times, attendees, and related metadata.

Skala uses this data solely to provide features such as displaying, syncing, or managing calendar events within the Service.

Skala does not use data obtained from Google or Microsoft services for advertising purposes or for training artificial intelligence models.

Your use of Google or Microsoft integrations is subject to their respective terms and privacy policies.

You may revoke access to these integrations at any time through your account settings or through your Google or Microsoft account permissions.

12. Beta Services

Some features may be released as beta or experimental features. These may contain bugs or interruptions and are provided without guarantees.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Service means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of New Zealand.
